Terms of Service

1. Acceptance of Terms

By accessing or using the website and services provided by Vantage Agentic Systems ("Vantage", "we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services.

We reserve the right to modify these terms at any time. Continued use of our services after changes are posted constitutes acceptance of the revised terms.

2. Services Description

Vantage Agentic Systems provides AI automation consulting, development, and integration services for businesses. Our services include but are not limited to:

• Workflow automation design and implementation
• Custom AI agent development
• CRM and third-party platform integration
• Data analytics and reporting solutions
• AI strategy consulting and audits

The specific scope, deliverables, and timeline for each project will be agreed upon in a separate statement of work or proposal.

3. Payment Terms

Payment terms are outlined in the individual proposal or statement of work provided before the commencement of any project. Unless otherwise agreed:

• A deposit of 50% is required before work begins.
• The remaining balance is due upon project completion and delivery.
• Monthly retainer fees are invoiced at the beginning of each calendar month and are due within 14 days.
• All prices are quoted in GBP and are exclusive of VAT unless otherwise stated.

Late payments may incur interest at a rate of 4% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

4. Intellectual Property

Upon full payment, all custom-built automations, workflows, and integrations created specifically for you become your property. You will own full rights to the deliverables.

Vantage retains ownership of:

• Pre-existing tools, frameworks, and methodologies used in the delivery of services
• General knowledge and expertise gained during the engagement
• The Vantage brand, logo, and website content

You grant Vantage permission to reference the project (without disclosing confidential details) in our portfolio and marketing materials, unless you request otherwise in writing.

5. Limitation of Liability

To the maximum extent permitted by law, Vantage Agentic Systems shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with the use of our services.

Our total liability for any claim arising from or related to our services shall not exceed the total fees paid by you to Vantage for the specific project giving rise to the claim.

We provide all services on an "as is" basis and do not guarantee uninterrupted or error-free operation of automated systems. However, all projects include 30 days of post-delivery support to address any issues.

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This includes business processes, customer data, technical specifications, and financial information. Confidentiality obligations survive the termination of any agreement.

7. Termination

Either party may terminate a project engagement by providing 14 days' written notice. Upon termination:

• You will be invoiced for all work completed up to the termination date.
• All deliverables completed to that point will be transferred to you.
• Deposits for work not yet completed will be refunded on a pro rata basis.

8. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these terms or the use of our services shall be subject to the exclusive jurisdiction of the courts of England and Wales.
